OPTION CLAUSE: The Purchaser reserves the right to increase or decrease the quantity to be ordered up to 25 percent of bid quantity at the time of placement of contract. The purchaser also reserves the right to increase the ordered quantity up to 25% of the contracted quantity during the currency of the contract at the contracted rates. The delivery period of quantity shall commence from the last date of original delivery order and in cases where option clause is exercised during the extended delivery period the additional time shall commence from the last date of extended delivery period. The additional delivery time shall be (Increased quantity ÷ Original quantity) × Original delivery period (in days), subject to minimum of 30 days. If the original delivery period is less than 30 days, the additional time equals the original delivery period. The Purchaser may extend this calculated delivery duration up to the original delivery period while exercising the option clause. Bidders must comply with these terms.

Warranty period of the supplied products shall be 1 years from the date of final acceptance of goods or after completion of installation, commissioning & testing of goods (if included in the scope of supply), at consignee location. OEM Warranty certificates must be submitted by Successful Bidder at the time of delivery of Goods. The seller should guarantee the rectification of goods in case of any break down during the guarantee period. Seller should have well established Installation, Commissioning, Training, Troubleshooting and Maintenance Service group in INDIA for attending the after sales service. Details of Service Centres near consignee destinations are to be uploaded along with the bid.

Bidder's offer is liable to be rejected if they don't upload any of the certificates / documents sought in the Bid document, ATC and Corrigendum if any.

Fall Clause : The price charged for stores supplied under the contract by the Seller shall in no event ex ceed the lowest prices at which the Seller sells the stores or offers to sell stores of identical description, un der the same terms and conditions, to any entity/ agency including the Purchaser during the period or until the performance of all Supply Orders placed during the currency of the contract is completed. If at any tim e, during the said period, the Seller reduces the sale price, sells or offers to sell such stores to any entity/ a gency at a price lower than the price chargeable under the contract, he shall forthwith notify such reductio n or sale or offer of sale to the purchaser/ contracting authority and the price payable under the contract f or the stores shall stand correspondingly reduced.

Risk and Expense Clause . The Procuring Entity undertakes Risk and Expense purchase in the event of the seller failing to honour the contracted obligations within the stipulated period and where extension of DP is not approved. While initiating risk and expense purchase at the cost and expense of the seller, the Pr ocuring Entity shall satisfy himself that the seller has failed to deliver and has been given adequate and pr oper notice to discharge his obligations. Such risk and expense purchase will be contracted within six mont hs from the breach of contract. The seller shall be liable for any loss which the Procuring Entity may sustai n on that account. In other words, whenever risk and expense purchase is resorted to, the seller is liable to pay the additional amount spent by the buyer, if any, in procuring the said contracted goods/ services th ro ugh a fresh contract/ local purchase/ etc., i.e. the defaulting seller has to bear the excess cost incurred as compared with the amount contracted with him. The manner and method of such procurement shall be at the entire discretion of the Procuring Entity, and it shall not be necessary for the Procuring Entity to notify the seller of such procurement.

Liquidated Damages (LD) Clause : (a) If the vendor/ contractor fails to supply the stores/ goods/ any i nstalment thereof or fails to perform ser vices, conduct trials, installation of equipment, training and MET a s per schedule specified in a contract, the CFA, without prejudice to the rights of the purchaser to any othe r remedy for breach of contract, may recover from the contractor, a sum equivalent to 0.5% of the price {t otal cost (including elements of GST, freight/ transportation and other variations like PVC/ERV etc.) of store s/incidental Works/Services, which the contractor has failed to deliver within the period agreed for delivery in the contract, for each week or part thereof. The total damages shall not exceed 5% of the Price {total co st (including elements of GST, freight/transportation and other variations like PVC/ERV etc.) of stores /incid ental Works/Services. Any extension given by the buyer for delay attributable to buyer or on account of Fo rce Majeure Clause is to be factored in delivery period. (b) In case of inordinate delay this maximum deduc tion shall be 10% of the Price (total cost), as stated above, of stores/ incidental works/services suppl ied wi th delay.
