OPTION CLAUSE: The Purchaser reserves the right to increase or decrease the quantity to be ordered up to 25 percent of bid quantity at the time of placement of contract. The purchaser also reserves the right to increase the ordered quantity up to 25% of the contracted quantity during the currency of the contract at the contracted rates. The delivery period of quantity shall commence from the last date of original delivery order and in cases where option clause is exercised during the extended delivery period the additional time shall commence from the last date of extended delivery period. The additional delivery time shall be (Increased quantity ÷ Original quantity) × Original delivery period (in days), subject to minimum of 30 days. If the original delivery period is less than 30 days, the additional time equals the original delivery period. The Purchaser may extend this calculated delivery duration up to the original delivery period while exercising the option clause. Bidders must comply with these terms.

Buyer Added text based ATC clauses Terms and Conditions Eligibility Criteria: Only Manufacturers, their accredited agents, or authorized distributors ar e eligible to participate in this tender. Proof of Authorization: Bidders must submit valid documentation establishing their status a s a Manufacturer, accredited agent, or authorized distributor along with the technical bid. The Manufacturer’s name and the country of origin of the offered materials must be clearly stated in the Manufacturer’s Authorization Form (MFA), which must remain valid for at least one year from the date of issuance. The prescribed format for MFA is provided in Buyer Added B id Specific ATC.(Format A) Compliance Sheet and Brochure: of the product(s) offered in the bid, are to be uploaded al ong with the bid documents. In case of any unexplained mismatch of technical parameters, th e bid is liable for rejection. Price Control Compliance: The price quoted must not exceed the ceiling price fixed under D PCO/NPPA or by the State Government, if applicable. In case of any reduction in such ceiling p rices, the seller must revise the quoted price accordingly. Successful bidder will have to ensure that adequate number of dedicated technical service per sonals/engineers are designated/deployed for attending to the Service Request in a time boun d manner and for ensuring Timely Servicing/rectification of defects during warranty period, as per Service level agreement indicated in the relevant clause of the bid. After having been notif ied of the defects/service requirement during warranty period(if applicable) Malicious Code Certificate: The seller should upload following certificate in the bid: a.This is to certify that the Hardware and the Software being offered, as part of the contract, d oes not contain Embedded Malicious code that would activate procedures to: - (i) Inhibit the de sires and designed function of the equipment, (ii) Cause physical damage to the user or equip ment during the exploitation, (iii) Tap information resident or transient in the equipment/netw ork. b.The firm will be considered to be in breach of the procurement contract, in case physical da mage, loss of information or infringements related to copyright and Intellectual Property Right (IPRs) are caused due to activation of any such malicious code in embedded software. Warranty (if applicable) :Period of the supplied products shall be a minimum of 3 Years fro m the date of final acceptance of goods or after completion of installation, commissioning & te sting of goods (if included in the scope of supply), at consignee location. OEM Warranty certific ates must be submitted by Successful Bidder at the time of delivery of Goods. The seller shoul d guarantee the rectification of goods in case of any break down during the guarantee period. Seller should have well established Installation, Commissioning, Training, Troubleshooting and Maintenance Service group in INDIA for attending the after sales service. Details of Service Ce ntres near consignee destinations are to be uploaded along with the bid. Buffer Stock and Emergency Supply: The successful bidder must maintain adequate buffe r stock of contracted items at their Kerala office to avoid disruption of procedures. Bidders are advised to check applicable GST on their own before quoting. Buyer will not take a ny responsibility in this regards. Supplier shall ensure that the invoice is raised in the name of Consignee with GSTIN of Consignee only. Scope of Supply (Bid price to include all cost components): Supply Installation Testing Com missioning of Goods and Training of operators and providing Statutory Clearances required (if any) Installation, Commissioning, Testing, Configuration, Training (if any - whichever is applica ble as per scope of supply) is to be carried out by OEM / OEM Certified resource or OEM author ised Reseller at consignee location free of cost. The payment will be released only thereafter. Item should be supplied only on FOR Destination basis (Inclusive of unloading charges). Unloa ding charges need to be borne by supplier only. Default and Alternate Procurement: In case of default in timely and correct supply, SCTIM ST may procure the items from alternate sources without cancelling the contract. Any excess cost incurred will be recovered from the supplier’s bill, security deposit, or other means. Assignment and Subletting Restrictions: The successful bidder shall not assign, underlet, or sublet the contract or any part thereof. The supplier remains fully responsible for contract obligations regardless of consent. The Seller shall not assign the Contract in whole or part without obtaining the prior written con sent of buyer Demand Variability :The quantities mentioned in the tender are indicative and subject to var iation based on user department. Exact requirements will be determined during fixation of Pur chase/ Contract order The successful bidder must align with the specifications of the item prescribed in the contract. Without prejudice to Buyer’s right to price adjustment by way of discount or any other right or remedy available to Buyer, Buyer may terminate the Contract or any part thereof by a written notice to the Seller, if: (i) The Seller fails to comply with any material term of the Contract. (ii) The Seller informs Buyer of its inability to deliver the Material(s) or any part thereof within the stipulated Delivery Period or such inability otherwise becomes apparent. (iii) The Seller fails to deliver the Material(s) or any part thereof within the stipulated Delivery Period and/or to re place/rectify any rejected or defective Material(s) promptly. (iv) The Seller becomes bankrupt or goes into liquidation. (v) The Seller makes a general assignment for the benefit of creditors. (vi) A receiver is appointed for any substantial property owned by the Seller. (vii) The Seller h as misrepresented to Buyer, acting on which misrepresentation Buyer has placed the Purchas e Order on the Seller False Information Clause If any information provided by the supplier is found to be false, S CTIMST may terminate the contract and forfeit the security deposit. Losses or expenses incurred due to cancellation will be recovered from the supplier. Price Parity Declaration The rate offered will preferably be equal to or lower than that offer ed to any Central/State Government Organization, PSU, or Public Listed Company in Kerala. Further, whenever the Institute is requested to furnish a supply order issued by a similar entit y for the tendered item, the bidder shall provide the same, without fail, to substantiate the rat e quoted. Restrictions under Rule 144 (xi) of GFR 2017: Any bidder from a country which shares a l and border with India will be eligible to participate in this bid only if the bidder is registered wi th the Competent Authority in accordance with restrictions under Rule 144 (xi) of the General Financial Rules (GFRs) 2017 as amended from time to time. A declaration to this effect must be submitted with bid documents (Format B). Failure to comply will result in rejection without further communication. Price Reduction Notification If the supplier reduces the price of the item during the contrac t period or sells it at a lower price to another entity, the same reduced price must apply to SC TIMST. A declaration to this effect must be submitted with bid documents (Format C). Failure to submit will result in rejection without further communication. The ‘Make in India’ declaration must be submitted in the prescribed form at provided in the Bu yer-Added Bid Specific ATC. Failure to submit the declaration in the prescribed format will resu lt in rejection of the offer without further communication. Penalty Clause Delay in Delivery: If the supplier fails to deliver, install, commission any or all of the goods, or fails to perform the services within the time frame stipulated in GeM contract, the purchaser shall, without prejudice to other rights and remedies available under the contra ct, deduct from the contract price liquidated damages at the rate of 0.5% per week of delay or part thereof on the delayed supply of goods, installation, commissioning and/or services, until actual delivery of performance. The total deduction shall not exceed 10 % of the contract pric e. Once the maximum limit is reached, the purchaser may consider termination of the contract . Any delay the Supplier in fulfilling its contractual obligations regarding delivery of goods and performance of services shall render the Supplier liable to one or more of the following sanctio ns:
