Payment Terms- 90% in below specified days after the receipt an d subject to successful commissioning and acceptance of the equipment. The balance 10% of the PO value shall be retained as performance guarantee and shall be released after successful co mpletion of the warranty period and fulfilment of all contractual obli gations. However, On submission of 10% PBG for applicable wa rranty period, same withheld 10% can be released. BHEL reserves the right for Pre-dispatch Inspection which shall be c arried out by BHEL/BHEL authorized TPIA (Third Party Inspection Age ncy)/BHEL customer. Test certificate is to be submitted for the clear ance of material from BHEL Quality Dept. Material shall be dispatche d only after written dispatch clearance from BHEL. However, materi al shall be accepted only after final inspection by BHEL at BHEL site/ premises and availability of all relevant documents like GST Invoice, Material Test Certificate, Packing list, warranty certificate etc.

Any deviation regarding extra GST on quoted rates, payment term, delivery schedule, LD shall not be considered in any circumstances. Delivery schedule as mentioned in GeM bid shall only be applicable. GST, payment, LD terms shall be applicable only of GeM bid.

It is to be noted that as per General Terms & Conditions of GeM, quo ted rates in bid/RA are inclusive of taxes, freight, insurance etc. If an y bidder mentions extra GST, freight, insurance in technical bid/cata logue, this shall not be considered valid and no further clarifications shall be sought thereof.

By making a bid pursuant to the Tender Documents, the bidder / te nderer shall be deemed to have declared that the bidder / tenderer has not made any commercial deviation as understood or deemed i n terms of this bid clauses. Breach of contract, Remedies and Termination: In case of breach of contract, wherever the value of security instrumen ts like performance bank guarantee available with BHEL against the sai d contract is at least 10% of the contract value, the same be encashed. In case the value of the security instruments like PBG/Security Deposit s etc. available is less than 10% of the contract value, the balance amo unt be recovered from other financial remedies (i.e. available bills of th e contractor, retention amount, etc. with BHEL) or legal remedies be p ursued. The balance scope shall be got done independently without Risk& Cost of the failed supplier/ contractor. Further, levy of liquidated damages, debarment, termination, de-scoping, short-closure, etc., shall be applie d as per provisions of the contract. Grievance Redressal Mechanism: To promote transparency and ensure fair treatment of all bidders, a str uctured Grievance Redressal Mechanism is in place to address any con cerns or issues arising during the tendering process or in subsequent b usiness dealings with the company. Suppliers/Contractors are requested to follow the below escalation pro cess for grievance resolution:

First Level: Any grievance should initially be addressed to the de signated Dealing Officer, whose contact details are provided in the Notice Inviting Tender (NIT)/Contract.

Second Level: If the issue remains unresolved, it may be escal ated by lodging a formal grievance through the SUVIDHA Porta l: https://suvidha.bhel.in/suvidha/. Responses will be provided i n accordance with the defined escalation matrix.” Consequential Loss -ATC: "Neither party shall be liable to the other for any indirect or consequen tial loss or damage, including but not limited to loss of use, loss of profi ts, or loss of contracts, or special, punitive, exemplary losses whatsoev er arising out of or in connection with this contract." Regarding MSE category: Any Bidder falling under MSE category shall furnish the following detail s & submit documentary evidence/ Govt. Trade Receivables Discounting System (TReDS) as a transactio n settlement platform by the Central Public Sector Enterprises: (i) All operating CPSEs shall, in respect of procurement of goods or serv ices from the MSMEs, route the settlement of invoices through any TRe DS platform authorised by the Reserve Bank of India; Provided that the routing of invoices by CPSEs through the TReDS platform shall not be c onstrued as mandating discounting of such invoices and the MSMEs su pplier shall have the option to avail or not avail financing or discountin g of its receivables on the platform; (ii) All operating CPSEs or any other authority, body or entity notified b y the Central Government shall disclose the details of invoices of MSM Es routed and settled through TReDS, in the form and manner as speci fied by the Reserve Bank of India; (iii) All operating CPSEs mandated to ensure a certificate from their sta tutory auditors that they are registered with at least one TReDS platfor m and are in compliance with guidelines of this notification, during thei r annual statutory audit. Treatment of cases regarding conflict of interest: The bidder notes that a conflict of interest would said to have occurred in the tender process and execution of the resultant contract, in case o f any of the following situations: i) If its personnel have a close personal, financial, or business relations hip with any personnel of BHEL who are directly or indirectly related to the procurement or execution process of the contract, which can affect the decision of BHEL directly or indirectly; ii) The bidder (or his allied firm) provided services for the need assess ment/ procurement planning of the Tender process in which it is partici pating; iii)Procurement of goods directly from the manufacturers/ suppliers shall be preferred. However, if the OEM/ Principal insists on engaging t he services of an agent, such agent shall not be allowed to represent more than one manufacturer/ supplier in the same tender. Moreover, e ither the agent could bid on behalf of the manufacturer/ supplier or the manufacturer/ supplier could bid directly but not both. In case bids are received from both the manufacturer/ supplier and the agent, bid recei ved from the agent shall be ignored. However, this shall not debar mor e than one Authorised distributor (with/ or without the OEM) from quoti ng equipment manufactured by an Original Equipment Manufacturer ( OEM) in procurements under a Proprietary Article Certificate. iv) A bidder participates in more than one bid in this tender process. P articipation in any capacity by a Bidder (including the participation of a Bidder as a partner/ JV member or sub-contractor in another bid or vice -versa) in more than one bid shall result in the disqualification of all bids in which he is a party. However, this does not limit the participatio n of an entity as a sub-contractor in more than one bid if he is not biddi ng independently in his own name or as a member of a JV. The Bidder declares that they have read and understood the above aspects, and the bidder confirms that such conflict of interest does not exist and undertakes that they will not enter into any illegal or undisclo sed agreement or understanding, whether formal or informal with othe r Bidder{s), in this regard. This applies in particular to prices, specificat ions, certifications, Subsidiary contracts, submission or non-submission of bids or any other actions to restrict competitiveness or to introduce cartelization in the bidding process. In case, the Bidder is found having indulged in above activities, the sa me will be considered as a violation of the tender conditions, and suita ble action shall be taken by BHEL as per extant policies/ guidelines. .
