OPTION CLAUSE: The Purchaser reserves the right to increase or decrease the quantity to be ordered up to 25 percent of bid quantity at the time of placement of contract. The purchaser also reserves the right to increase the ordered quantity up to 25% of the contracted quantity during the currency of the contract at the contracted rates. The delivery period of quantity shall commence from the last date of original delivery order and in cases where option clause is exercised during the extended delivery period the additional time shall commence from the last date of extended delivery period. The additional delivery time shall be (Increased quantity ÷ Original quantity) × Original delivery period (in days), subject to minimum of 30 days. If the original delivery period is less than 30 days, the additional time equals the original delivery period. The Purchaser may extend this calculated delivery duration up to the original delivery period while exercising the option clause. Bidders must comply with these terms.

Bidder shall submit the following documents along with their bid for Vendor Code Creation: a. Copy of PAN Card. b. Copy of GSTIN. c. Copy of Cancelled Cheque. d. Copy of EFT Mandate duly certified by Bank.

Supplier shall ensure that the Invoice is raised in the name of Consignee with GSTIN of Consignee only.

Nil deviation clause for all schedules: Compliance to ALL provisions of the bidding document (Nil Deviation b id) is mandatory which is to be accepted through the “Seller undertaki ng” during submission of offer by the seller in GeM. Through their acc eptance, the seller undertakes the following: “1. With reference to our bid submitted against the tender, we hereby confirm that we comply with all terms, conditions and specifications of the Bidding Documents read in conjunction with Amendment(s) / Clarification(s) / Addenda/Errata (if any) issued by the Employer prior t o opening of Techno-Commercial Bids and the same has been taken in to consideration while making our Techno-Commercial Bid & Price Bid and we declare that we have not taken any deviation in this regard.

in case the Products and/or Services offered do not meet the technical requirements, then our bid shall be rejected as Technically non-responsive. We also confirm that in case we refuse to withdraw additional conditio ns /deviations/ variations/exception, implicit or explicit, found anywhe re in the techno-commercial bid, our bid shall be rejected as Technical ly non-responsive. We further confirm that if any deviation/variation in any form is found in our Price Bid, the EMD shall be forfeited”. 2 “Bidders are requested to refer detailed technical specification of the i tem (s). In case of any contradiction between short text of item(s) and complete technical specification of the item(s), only complete technic al specification of that item should be considered for the submission of offer and same shall be considered for evaluation purpose.” 3 Eligibility criteria of Vendors: (I) Subject Tender is floated on Limited Tender (LT) basis and Vendors eligible to participate have already been shortlisted and approved by NTPC. Email has been sent to the shortlisted approved vendors for par ticipation in the subject tender on GeM Portal. Only those bidders who have received the invitation mail from USSC- C&M shall be eligible to participate in this tender. (II) Offer from Bidder(s) who have not received email from USSC- C&M , shall NOT be considered and Bids of such Bidder(s) shall be summari ly rejected. 4 Payment Terms: Payments shall be made to the Seller within 30 day s of issue of consignee receipt-cum-acceptance certificate (CRAC) and on-line submission of bills (This is in supersession of 10 days time as p rovided in clause 12 of GeM GTC) 5 PDI Clause (Inspection and Tests ): Applicable as per attached SQ P. Pre-Dispatch inspection (PDI) shall be carried out by NTPC RIO/Repres entative at vendor’s work as per NTPC approved MQP / RQP / SQP. After receipt of Purchase Order, vendor shall raise inspection call onlin e through URL https://teamup.ntpclakshya.co.in. After successful PDI, vendor has to submit Material Dispatch Clearanc e Certificate (MDCC) issued by NTPC RIO along with supply. 6 Post Bid Clarification: In the event subsequent clarification(s)/query(ies) by NTPC are sought from bidder and bidder fails to respond or responds with incorrect / in adequate or non-compliant information, the bid shall be liable for rejection. During techno-commercial evaluation of offer, reply given by bidder a gainst the queries/clarifications asked and further accepted by NTPC s hall be an integral part of the GeM Contract. Contract shall be execute d in accordance with the same. 7 All post award communication/ grievance will be addressed to consign ee at email id: storeincharge-ramagundam@ntpc.co.in . In case of non-resolution of the issue, matter can be escalated along with previous correspondence(s) to email id: vendor_grievance_cpg2 @ntpc.co.in . Any communication other than post award are not to be asked throug h above mail IDs. NTPC will not take cognizance of any such correspo ndence sent to above mail IDs and shall be outrightly ignored. Conflict of Interest (A) A bidder shall not have conflict of interest with other bidders. Suc h conflict of interest can lead to anti-competitive practices to the detri ment of Employer's interests. A bidder may be considered to have a c onflict of interest with one or more parties in this bidding process, if: a) they directly or indirectly control, or are controlled by or are under common control of another entity; or b) they have the same legal representative/agent for purposes of their bids; or c) they have relationship with each other, directly or through common third party(ies), that puts them in a position to have access to informa tion about or influence on the bid of another Bidder; or 8 d)Bidder and/or any of its allied entity(ies), which directly or indirectly control(s) or is(are) controlled by or is(are) under common control of a nother entity, has(ve) participated as a consultant in the preparation o f the design or technical specifications of the contract that is the subje ct of the tender; or e)Bidder participates in more than one bid in this bidding process. f) In cases of agents quoting on behalf of their principal manufacturers /service providers, one agent cannot represent two manufacturers/ser vice providers or quote on their behalf in a particular tender enquiry. One manufacturer/service provider can also authorize only one agent. There can be only one bid from the following: i) The principal manufacturer/service provider directly or through one Indian agent on his behalf; and ii) Indian/foreign agent on behalf of only one principal. For the purposes of this clause the term 'control' shall have the followi ng meaning: "Control" shall include the right to appoint majority of the directors or to control the management or policy decisions exercisable by a perso n or persons acting individually or in concert, directly or indirectly, incl uding by virtue of their shareholding or management rights or shareh olders' agreements or voting agreements or in any other manner. Note: If two or more CPSEs/State PSEs participate in a tender, they will not be deemed to fall under the 'Conflict of Interest' provisions sol ely because they are under common control of Government of India/St ate Government. Only Manufacturers of tendered mate rial are eligible for MSE benefit. (2) Please attach a self-declaration on your letterhead if you are the m anufacturer of products offered in tender. (3) Bidder shall submit MII declaration clearly mentioning, Name of te ndered item, % Local content, place of addition of local content. The d ocument shall be duly signed by the OEM. 14 RISK PURCHASE: In the event of Suppliers failure to supply the material of acceptable q uality in scheduled delivery period, NTPC reserves the right to procure the materials from any other source at the Suppliers risk and cost and the difference in cost shall be borne by the Supplier. Further, NTPC sh all retain the right of forfeiture of CPG and or any other action as dee med fit. 15 Purchase Preference to MSE-SC/ST & Women: In case procurement of Goods/Services, preferences to MSEs whose q uoted prices are within L1(non-MSEs) + 15% range (subject to matchi ng of L1 price) will be given in the following order: a) SC-ST Women MSEs b) SC-ST other than Women MSEs c) Women MSEs d) Other MSEs The MSE order quantity will be as per following (i) Where the requirement is non-Splitable: 100% of contract quantity will be awarded to MSEs. (ii) Where the requirement is splitable: 25% of contract quantity will b e awarded to MSEs. In case of more than one MSEs (for the same cat egory) are within range of L1+15% price, then 25% of tendered quant ity will be divided equally amongst them. Note : L1 bidder mentioned above is non-MSE Purchase preference margin is +15% of L1 quoted price If L1 bidder is MSE, then purchase preference is not applicable The SC/ST & Women category of MSEs is identified only through valid URC( Udyam Registration Certificate) 1 6 Timeline of Bid submission on procurement portal: The Bidder shall be held solely responsible for non-submission of bids on the e-tender portal (GeM) due to any reasons within the due date/ t ime, The Procuring Entity/NTPC shall not be held responsible or liable i n any manner for the same.
